Siemens Postal, Parcel & Airport Logistic LLC (PPAL) is seeking a highly-motivated Contracts Management Prof. to provide a broad range of commercial contract management functions and contract-related administrative support. This position requires an individual with at least eight (8) years of combined contract and claims management experience, as well as an understanding of the various types of contracts and construction licensing topics associated with large-scale manufacturing, industrial automation, and/or material handling construction projects throughout the United States and, ideally, Canada. Excellent organizational, communicational, and coordination skills are key to this role, as well as the flexibility to adjust and thrive in a dynamic environment with changing requirements, schedules, and priorities for multiple projects and assignments.
This position will be based in Irving, Texas and will report to the head of legal and compliance for North America.
The Contracts Management Prof. will work in a team-oriented and results-focused environment with other contract managers, contract professionals, attorneys, project managers, commercial project managers, and other team members on a variety of exciting commercial projects in the United States and Canada. Range of activities includes, but is not limited to, the following:
Research and analyze various laws, rules, and regulations of states, counties, municipalities, and provinces in the United States and Canada concerning construction/contractor licensing requirements and ensure that all necessary licenses are timely secured and maintained prior to commencement as required for each applicable project.
Support our legal department on various matters and topics, including organizing and maintaining legal documents in various databases, assisting with the development and execution of compliance and legal training programs, drafting corporate resolutions and maintaining corporate books and records, and providing litigation support.
Analyze, draft, negotiate, and advise upon a variety of project-related commercial contracts in the United States and Canada.
Maintain deadlines on deliverables and communicate on ongoing basis with business partners and internal clients about contractual issues.
Assess potential contractual risks in close alignment with and as directed by our legal department and project management teams.
Generate contractual overviews of obligations and baselines for projects and highlight potential risks, claims and mitigation actions.
Prepare and manage change orders and associated variations, including providing necessary substantiation as well as commercial assessment of the changes.
Coordinate with project management teams in the preparation and defense of claims, including defining contractual entitlements and ensuring required levels of substantiation and quantification are provided to achieve the objectives of the claims.
Support implementation of processes for efficient and streamlined operations surrounding contract management.
Ensure the observance of contractual requirements, rights and obligations towards customers, suppliers and other partners during project execution.
Develop, implement, and regularly review claim strategies with regards to customers, sub-suppliers and partners in coordination with our project management teams.
Collect, prepare, and manage relevant documents and evidence in accordance with contractual deadlines and requirements.
Contribute to the development and improvement of the model contract library and the efficiency of the legal contract management process.
Assist in the management of contract documentation flow, approvals, reporting and archiving consistent with internal processes.
Required Skills, Experience, and Qualifications
Bachelors’ Degree (law degree / J.D. degree is preferred).
Minimum 8 years of combined experience in contract and claims management, preferably with a background in the commercial construction industry.
Proven ability to initiate appropriate actions and follow-up actions with minimal supervision.
Working knowledge of business and project management practices, relationships among costs of production, marketing, distribution, and procurement and contracting methods.
Experience in assisting attorneys, project managers, and other team members in commercial contracting from the preliminary/conceptual phase, through structuring, due diligence, negotiating, drafting, closing, and post-closing conflict resolution.
Excellent attention to detail and demonstrated desire and ability to quickly learn and understand new contractual and legal topics.
Working knowledge of construction/contractor licensing requirements.
Demonstrated experience with drafting and negotiating non-disclosure agreements.
Excellent communication and writing skills with demonstrated ability to develop and communicate clear, concise and consistent contractual provisions.
Broad knowledge of contractual and legal concepts involved in commercial construction contracts.
Self-motivated with ability to work under pressure with a sense of urgency and thoroughness.
Ability to interact and cooperate with all levels of management, legal, attorneys, and contracting officers within a fast-paced and diverse multi-cultural environment.
Understanding of budgeting and accounting principles.
Flexible team player willing to accept new challenges and assignments based on needs of the business.
Willingness and ability to travel domestically and, occasionally, internationally.
