Siemens Logistics LLC (Siemens Logistics) is seeking a highly-motivated legal counsel to join our very active Legal and Compliance team. The successful candidate will generally be responsible for reviewing, revising and negotiating a wide variety of commercial contracts and agreements and supporting our Lead Counsel in handling the day-to-day legal affairs and contractual responsibilities associated with our operations in the United States and Canada. Excellent organizational, communication, and coordination skills are key to this role, as well as the flexibility to adjust and thrive in a dynamic environment with changing requirements, schedules, and priorities for multiple construction projects and assignments. In addition, the ideal candidate will have a keen understanding of the various types of contracts associated with large-scale construction projects throughout the United States and, ideally, Canada.
This position will be based in Irving, Texas and will report to the Lead Counsel for the Americas.
The successful candidate will work in a team-oriented and results-focused environment with attorneys, contract managers, project managers, commercial project managers, executives, and other team members on a variety of exciting commercial construction projects in the United States and Canada. Range of activities include, but are not limited to, the following:
Review, analyze, draft, negotiate, and advise upon a variety of project-related commercial contracts in the United States and Canada, including prime contracts, subcontracts, bids, proposals, professional service agreements, operations and maintenance agreements, construction and engineering agreements, master service and vendor related agreements, etc.
Provide practical legal advice to project management and execution teams regarding a wide variety of commercial project matters, including contract compliance, change order documentation, project notices, and subcontractor management.
Investigate, manage and resolve commercial and construction project and contract conflicts and claims with owners, design professionals and subcontractors.
Work closely with contract management professionals and provide legal advice and approvals where required during contract negotiations.
Analyze unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business procedure and communicate policy to peers and across the organization.
Analyze and recommend deviations from limits of authority directive and prepare communication for appropriate management approval.
Perform substantial drafting and negotiation of contracts with customers, suppliers and vendors.
Assist with developing and providing legal/compliance training to organization, and work with corporate executives to ensure adherence to corporate policies.
Contribute to the development and improvement of the model contract library and the efficiency of the legal contract management process.
Required Skills, Experience, and Qualifications
J.D. / law degree and must be admitted/licensed to practice law in one or more states.
Minimum of 5 years of demonstrated legal experience drafting and negotiating commercial construction contracts as an associate or partner in a law firm or as corporate counsel/in-house counsel.
Experience with project business or large-scale construction business.
Self-motivated with ability to work under pressure with a sense of urgency and thoroughness.
Ability to socialize ideas, make recommendations and gather team consensus to move forward.
Ability to work closely with management, and contribute to the success of the business by providing practical legal and business advice.
Excellent communication and writing skills with demonstrated ability to develop and communicate clear, concise and consistent contractual provisions.
Ability to interact and cooperate with all levels of management, legal, attorneys, and contracting officers within a fast-paced and diverse multi-cultural environment.
Willingness and ability to travel domestically and, occasionally, internationally.
